Terms of Service

These Terms of Service ("Terms") govern your access to and use of the SXRX Health platform, websites, mobile applications, and related services (collectively, the "Platform") operated by SxRx PLLC d/b/a SXRX Health ("SXRX," "we," "us," or "our"). By creating an account or otherwise using the Platform, you agree to these Terms.

Important: The Platform is a technology service that connects you with independent licensed physicians and pharmacies. SXRX does not itself provide medical care or dispense medication. Read Section 4 carefully before using.

1. Eligibility

You must be at least 18 years old, a resident of California or Texas (or another state we expressly support), and able to enter into a legally binding contract to use the Platform. By using the Platform, you represent that you meet these requirements.

2. Account Registration

To use most features, you must create an account and provide accurate, complete, and current information. You are responsible for safeguarding your account credentials and for any activity that occurs under your account. Notify us immediately at support@sxrx.us if you suspect unauthorized access.

3. Identity Verification

For certain medications, federal and state law requires identity verification. We use third-party providers (currently Veriff) to verify your identity. You consent to this verification and to the secure transmission of the required information.

4. Telehealth Services Are Provided by Independent Physicians

Physicians who deliver care through the Platform are independent professionals licensed in your state. They — not SXRX — are responsible for clinical judgment, diagnosis, treatment recommendations, and prescriptions. SXRX is not a medical practice, does not employ physicians for the purpose of providing care to you, and does not direct or supervise their professional judgment.

If a physician determines a treatment is not clinically appropriate for you, they may decline to prescribe it. That decision is final.

5. Pharmacy Fulfillment

When a physician prescribes a medication, the prescription is filled and shipped by a licensed pharmacy partner. The pharmacy operates independently and is solely responsible for compounding, dispensing, labeling, and shipping the medication in accordance with applicable law. SXRX is not a pharmacy.

6. Payment Terms

You agree to pay all fees associated with your use of the Platform, including consultation fees, medication costs, subscription fees, and any applicable taxes. Payment is processed through our third-party payment processors. By submitting payment information, you authorize SXRX to charge your payment method for the agreed amounts.

Subscriptions automatically renew at the end of each billing cycle until cancelled. You may cancel at any time through your account dashboard.

7. Refunds

Refund eligibility is described in our Refund Policy, which is incorporated into these Terms by reference.

8. Shipping

Shipping terms, timelines, and delivery requirements are described in our Shipping Policy.

9. Acceptable Use

You agree not to:

Provide false or misleading information about your identity, health, or eligibility;
Use the Platform to obtain medication for anyone other than yourself;
Resell, redistribute, or transfer medication obtained through the Platform;
Attempt to reverse-engineer, scrape, or interfere with the Platform's operation;
Use the Platform for any unlawful purpose or in violation of any applicable law.

We may suspend or terminate your account if we believe you have violated these Terms or applicable law.

10. Intellectual Property

The Platform, including all software, content, designs, logos, and trademarks, is owned by SXRX or its licensors and protected by intellectual property law. You receive a limited, non-exclusive, non-transferable license to use the Platform solely for its intended purpose.

11. Disclaimers

The Platform is provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. SXRX does not warrant that the Platform will be uninterrupted, error-free, or secure.

The Platform is not intended for medical emergencies. If you are experiencing a medical emergency, call 911 or go to the nearest emergency room.

12. Limitation of Liability

To the maximum extent permitted by law, SXRX, its officers, members, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from your use of the Platform.

SXRX's total cumulative liability arising out of or related to these Terms or your use of the Platform shall not exceed the amount you paid to SXRX in the 12 months preceding the event giving rise to the claim.

This Section 12 does not limit liability for the licensed physicians or pharmacies you interact with through the Platform; their liability is governed separately by applicable law and their own professional responsibility.

13. Indemnification

You agree to indemnify and hold harmless SXRX, its officers, members, employees, and agents from any claim, demand, loss, or damages (including reasonable attorneys' fees) arising out of or related to your violation of these Terms, your use of the Platform, or your violation of any law or rights of a third party.

14. Dispute Resolution; Arbitration; Class-Action Waiver

Any dispute arising out of or relating to these Terms or your use of the Platform shall be resolved by binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, except that you may bring an individual action in small claims court if eligible. You and SXRX each waive the right to a jury trial and the right to participate in a class action.

15. Governing Law; Venue

These Terms are governed by the laws of the State of Texas, without regard to its conflict-of-laws principles. Subject to Section 14, exclusive venue for any non-arbitrable dispute lies in the state or federal courts located in El Paso County, Texas.

16. Changes to These Terms

We may modify these Terms at any time. We will post the updated Terms on the Platform and update the "Last updated" date. Material changes will be communicated to you by email or in-app notice. Your continued use of the Platform after the effective date constitutes acceptance of the updated Terms.

17. Termination

You may terminate your account at any time by contacting support@sxrx.us. We may suspend or terminate your access at any time for any reason. Termination does not relieve you of any payment obligations accrued before termination.
